These Terms of Service ("Terms") form a binding agreement between LUME ("LUME", "we", "us") and you ("User") governing your access to and use of the LUME application, website at https://lumegear.site, and related services (together, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms.
1. Who we are
The Service is operated by LUME, established in Saudi Arabia. You are contracting with LUME for the provision of the Service.
2. Eligibility & Account
- You must be of legal age in your jurisdiction, or have the authority to bind the organization you represent.
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
3. The Service
LUME provides a cinematic asset library, preview, and organization tool designed for professional video editors and content creators. Features may include image, video, audio, SFX, VFX, and template management, along with integrations enabling drag-and-drop use inside third-party editing software (e.g. Adobe Premiere Pro, DaVinci Resolve). Features may evolve over time.
4. Licence
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal creative or business purposes during the term of your subscription.
5. Restrictions
- No reverse engineering, decompiling, or attempting to derive source code.
- No resale, sublicensing, or redistribution of the Service or its assets outside its intended use.
- No circumvention of technical limits, rate limits, licence enforcement, or DRM.
- No use of the Service for unlawful, fraudulent, infringing, or abusive activity.
- No malware, probing, scraping, or interference with the security or integrity of the Service.
6. User Content & Third-Party Rights
You retain ownership of any content you upload or organize through LUME. You grant us a limited licence to host and process your content solely to provide the Service. You represent that you have the rights necessary to upload, edit, and use such content. If you believe content in the Service infringes your rights, contact us at support@lumegear.site and we will review takedown requests. Repeat infringers may have their accounts terminated.
7. Intellectual Property
The Service, including the LUME software, brand, interface, documentation, and curated built-in assets, is and remains the property of LUME and its licensors and is protected by intellectual property laws.
8. Subscriptions, Payments & Taxes
Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, applicable taxes, cancellations, and refunds are governed by the Paddle Buyer Terms in addition to these Terms.
Subscriptions automatically renew for successive billing periods (monthly, quarterly, semi-annually, or annually as selected) until cancelled. You may cancel your subscription at any time from your dashboard or via paddle.net. Cancellation takes effect at the end of the current billing period.
9. Suspension & Termination
We may suspend or terminate your access to the Service for: (a) material breach of these Terms, (b) non-payment, (c) suspected fraud or security risk, or (d) serious or repeated policy violations. Upon termination, your right to use the Service ends and we may delete your account data after a reasonable retention period.
10. Service Level & Warranties
The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, or that all defects will be corrected. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us (via Paddle) in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or creative works. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.
12. Indemnity
You agree to indemnify and hold LUME harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
13. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. Material changes will be communicated by email or in-product notice. Continued use after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of Saudi Arabia, without regard to conflict-of-laws principles. Disputes shall be resolved by the competent courts of Saudi Arabia, unless otherwise required by local mandatory law.
15. Assignment & Force Majeure
You may not assign these Terms without our prior consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond reasonable control.
